1. Agreement to Terms

Welcome to Clinics Arm ("we," "our," "us," or the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Clinics Arm governing your access to and use of our platform, website, and services.

BY ACCESSING OR USING OUR PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR PLATFORM.

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Platform. Your continued use after changes constitutes acceptance of the updated Terms.

2. Definitions

  • "Platform" refers to the Clinics Arm website, application, and all related services
  • "Participant" refers to individuals who sign up to participate in research studies
  • "Laboratory" or "Lab" refers to research institutions, universities, or companies conducting studies
  • "Study" refers to research projects, clinical trials, or surveys posted by Laboratories
  • "Application" refers to a Participant's request to join a Study
  • "Payout" refers to compensation paid to Participants for study participation
  • "Account" refers to your user account on the Platform

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use this Platform. By creating an account, you represent and warrant that you are 18 years of age or older.

3.2 Geographic Restrictions

Our services may not be available in all geographic locations. We reserve the right to restrict access based on your location or applicable laws.

3.3 Account Authenticity

You may only create one account per person. Creating multiple accounts to circumvent our policies, including but not limited to claiming duplicate signup bonuses, is strictly prohibited and will result in immediate account termination and forfeiture of all payouts.

4. Account Registration and Security

4.1 Account Creation

To use our Platform, you must:

  • Provide accurate, current, and complete information
  • Verify your email address
  • Create a secure password
  • Maintain and update your information to keep it accurate

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Logging out after each session on shared devices

We are not liable for any loss or damage arising from unauthorized use of your account.

4.3 Verification Requirements

We may require identity verification before allowing certain activities (e.g., receiving payouts). Failure to complete verification may result in account restrictions or suspension.

5. User Roles and Responsibilities

5.1 Participant Responsibilities

As a Participant, you agree to:

  • Provide truthful and accurate information in your profile and applications
  • Read and understand consent forms before applying to studies
  • Honor commitments to participate in studies you've been accepted to
  • Follow study protocols and instructions provided by Laboratories
  • Communicate professionally with Laboratories
  • Report any adverse events or concerns to the Laboratory immediately

5.2 Laboratory Responsibilities

As a Laboratory, you agree to:

  • Obtain necessary ethics approvals (IRB/REC) before posting studies
  • Provide accurate and complete study information
  • Comply with all applicable research regulations (GCP, FDA, GDPR, etc.)
  • Protect participant privacy and confidentiality
  • Process payouts promptly after study completion
  • Maintain adequate insurance coverage for research activities
  • Respond to participant inquiries within a reasonable timeframe

5.3 Platform Facilitation

Clinics Arm acts solely as a platform facilitator. We connect Participants with Laboratories but are not responsible for:

  • The conduct of studies or compliance with research regulations
  • Safety or ethical oversight of research activities
  • Quality or accuracy of study information
  • Disputes between Participants and Laboratories
  • Medical outcomes or adverse events

6. Consent and Data Sharing

6.1 Explicit Consent Requirement

Before applying to any study, you must provide explicit consent to share your personal information with the specific Laboratory. This consent is:

  • Specific to each study and Laboratory
  • Freely given and can be withdrawn at any time
  • Logged and tracked for compliance purposes
  • Required before your application will be processed

6.2 Data Masking and Progressive Disclosure

🔒 Privacy Protection

To protect your privacy, we implement data masking. Laboratories only see partial information (masked name, email, phone) until they approve your application. Full contact details are revealed only after acceptance.

6.3 Withdrawal of Consent

You may withdraw consent at any time by contacting us or the Laboratory directly. However, data already shared cannot be "unshared," and withdrawal may affect your ability to participate in ongoing studies.

7. Payments and Compensation

7.1 Participant Payouts

  • Payment Method: All payouts are processed through Stripe. You must provide valid payment information.
  • Processing Time: Payouts are typically processed within 5-7 business days after study completion.
  • Minimum Payout: Minimum payout amount is $10 USD.
  • Taxes: You are responsible for reporting and paying taxes on all compensation received.
  • Currency: All payments are in USD unless otherwise specified.

7.2 Laboratory Payments

  • Wallet System: Labs must pre-fund their wallet before posting studies.
  • Escrow: Funds for accepted participants are held in escrow until study completion.
  • Platform Fee: We charge a service fee on each transaction (detailed in your Lab agreement).
  • Refund Policy: Wallet deposits are non-refundable except where required by law.

7.3 Signup Bonuses and Promotions

  • Signup bonuses are paid only after email and phone verification
  • One bonus per person (duplicate accounts are prohibited)
  • We reserve the right to modify or cancel promotions at any time
  • Fraudulent claims will result in account termination and bonus forfeiture

7.4 Disputes and Chargebacks

If you believe a payment error has occurred, contact us within 60 days. We will investigate and resolve the issue. Unauthorized chargebacks may result in account suspension.

8. Fraud Prevention and Account Integrity

⚠️ Zero Tolerance Fraud Policy

We have a strict zero-tolerance policy for fraud. Violations will result in immediate account termination, forfeiture of all payouts, and potential legal action.

8.1 Prohibited Fraudulent Activities

The following activities are strictly prohibited:

  • Creating multiple accounts to claim duplicate bonuses or payouts
  • Using false or misleading information in your profile or applications
  • Sharing account credentials with others
  • Using email aliases (e.g., gmail+trick@gmail.com) to create duplicate accounts
  • Deleting your account and creating a new one to claim duplicate bonuses
  • Applying to studies you're not eligible for
  • Bot activity or automated account creation

8.2 Fraud Detection System

We employ sophisticated fraud detection measures including:

  • Email and phone normalization to detect variations
  • Device fingerprinting and IP analysis
  • Behavioral pattern analysis
  • Manual review of suspicious accounts
  • Database triggers preventing duplicate signups after payout

8.3 Account Deletion and Re-Signup Policy

When you delete your account, your personal information is anonymized. However, to prevent fraud:

  • If you received payouts: You cannot create a new account with the same email/phone
  • If you never received payouts: You may create a new account
  • This policy prevents users from claiming duplicate signup bonuses
  • Attempts to circumvent this policy will result in permanent ban

8.4 Consequences of Fraud

If we determine you've engaged in fraudulent activity:

  • Immediate termination of your account
  • Forfeiture of all pending payouts and bonuses
  • Permanent ban from the Platform (no future account creation)
  • Reporting to credit agencies and law enforcement if applicable
  • Legal action to recover damages and attorney fees

9. Prohibited Uses

You may not use the Platform to:

  • Violate any local, state, national, or international law
  • Infringe on intellectual property rights
  • Transmit viruses, malware, or malicious code
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Collect user data without consent
  • Interfere with Platform operations or security
  • Reverse engineer or attempt to access source code
  • Use automated scripts, bots, or scrapers
  • Post spam, advertising, or unauthorized promotions
  • Conduct unethical or illegal research

10. Intellectual Property

10.1 Platform Ownership

The Platform and its original content, features, and functionality are owned by Clinics Arm and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 User Content

You retain ownership of content you submit (profile information, application responses). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of operating the Platform.

10.3 Trademarks

"Clinics Arm" and our logo are trademarks. You may not use these without our prior written permission.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11.1 No Warranty

We disclaim all warranties, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Uninterrupted or error-free service
  • Accuracy or reliability of content
  • Security of the Platform (though we implement reasonable measures)
  • Results or outcomes from using the Platform

11.2 Medical and Research Disclaimers

  • We do not provide medical advice or research oversight
  • Participation in studies may involve risks - consult with healthcare providers
  • We do not verify credentials of Laboratories (though we perform basic due diligence)
  • We are not responsible for study conduct, safety, or ethics compliance

11.3 Third-Party Services

We use third-party services (Stripe, Twilio, etc.). We are not responsible for their actions, failures, or data practices. Review their terms and policies separately.

12. Limitation of Liability

⚠️ Important Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LABS MARKETPLACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12.1 Damages Cap

Our total liability to you for all claims arising from your use of the Platform shall not exceed the greater of: (a) $100 USD, or (b) the amount you paid us in the 12 months preceding the claim.

12.2 Exclusions

We are not liable for:

  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or medical complications from study participation
  • Actions or omissions of Laboratories or other users
  • Unauthorized access to your account
  • Service interruptions or data loss
  • Errors in payment processing by third parties

12.3 Basis of the Bargain

These limitations reflect the allocation of risk between the parties and are a fundamental basis of the bargain. Some jurisdictions do not allow certain liability exclusions, so these may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Clinics Arm, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your fraudulent or illegal activities
  • Content you submit to the Platform
  • Your conduct of research (for Laboratories)

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@clinics-arm.com and attempt to resolve the dispute informally. We will work in good faith to resolve disputes quickly.

14.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in [Your State/Country] in English.

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

14.3 Class Action Waiver

You agree to bring claims only in your individual capacity, not as part of a class action or representative proceeding. This waiver applies unless prohibited by law.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Platform.

15. Termination

15.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your settings. See Section 8.3 for details on re-signup restrictions after deletion.

15.2 Termination by Us

We may suspend or terminate your account immediately without notice if:

  • You violate these Terms
  • We suspect fraudulent activity
  • You pose a security risk to the Platform
  • Required by law or court order
  • You engage in prohibited activities

15.3 Effect of Termination

Upon termination:

  • Your right to access the Platform immediately ceases
  • Pending payouts may be forfeited if termination was due to fraud
  • Completed payouts will be processed unless prohibited by law
  • Sections that should survive termination (disputes, liability, etc.) will remain in effect

16. Governing Law and Jurisdiction

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in [Your Jurisdiction] for any disputes not subject to arbitration.

For EU Users: Nothing in these Terms affects your rights as a consumer under EU law.

Your continued use of the Platform after changes constitutes acceptance. If you do not agree to changes, you must stop using the Platform and delete your account.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices we publish, constitute the entire agreement between you and Clinics Arm regarding the Platform.
